By accessing or using the Orbiton platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Orbiton Inc. ("Orbiton", "we", "us", or "our") operates a platform that enables users to connect their brokerage accounts and execute trades through our interface. We are not a broker-dealer, investment advisor, or financial institution.

2. Description of Service

Orbiton provides a platform that:

• Allows users to securely connect their existing brokerage accounts
• Displays investment opportunities shared by influencers and content creators
• Facilitates the execution of trades through connected brokerage accounts
• Provides notifications about new investment opportunities

Important: Orbiton does not provide investment advice, hold customer funds, or execute trades directly. All trades are executed through your connected brokerage account.

3. Eligibility

To use our Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into contracts
• Have an active account with a supported brokerage
• Reside in a jurisdiction where our Service is available

4. Account Registration and Security

When connecting your brokerage account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We use OAuth and other secure methods to connect to your brokerage. We never store your brokerage login credentials.

5. Investment Risks and Disclaimers

The Service is provided for informational purposes only. Nothing on our platform constitutes an offer to sell, a solicitation to buy, or a recommendation for any security.

6. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Transmit viruses or malicious code
• Engage in market manipulation or fraudulent trading
• Violate any applicable laws or regulations
• Impersonate another person or entity
• Scrape or harvest data from the Service

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Orbiton Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

Your relationship with your brokerage remains separate from your use of Orbiton. All brokerage fees, policies, and protections apply as determined by your broker.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall Orbiton's total liability exceed the amount you have paid to Orbiton in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Orbiton, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your investment decisions

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

You may disconnect your brokerage account and stop using the Service at any time. Termination does not affect any trades already executed through your brokerage.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in San Francisco, California, and judgment on the award may be entered in any court having jurisdiction.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
